Terms of Use
The terms that govern access to and use of ClarityTX.
Effective Date: October 22, 2026
These Terms of Use ("Terms") govern your access to and use of ClarityTX, the clinical decision support platform operated by Tulip Health Inc. ("Tulip Health," "Company," "we," "us," or "our"), including the website at meetclaritytx.com, the ClarityTX web application, and all related AI-powered tools, features, content, APIs, and services (collectively, the "Services"). By creating an account or using the Services in any way, you agree to be legally bound by these Terms and our Privacy Policy, which is incorporated herein by reference.
IF YOU DO NOT AGREE TO THESE TERMS, DO NOT ACCESS OR USE THE SERVICES.
1. Eligibility and Professional Licensure Requirement
ClarityTX is exclusively for licensed healthcare professionals. By registering for an account, you represent and warrant that you are a licensed, qualified healthcare provider, including but not limited to physicians, naturopathic doctors, registered dietitians, nurse practitioners, physician assistants, or other credentialed clinical professionals, in good standing with the applicable licensing authority in your jurisdiction.
You must be at least 18 years of age. You may not use the Services on behalf of a patient or as a patient yourself. The Services are clinical decision support tools designed to assist licensed professionals in their professional capacity only. Use of the Services by anyone other than a licensed healthcare professional is strictly prohibited and constitutes a material breach of these Terms.
We reserve the right to verify your professional licensure at any time and to suspend or terminate your account if you are unable to verify active licensure status.
2. Nature of the Services: Clinical Decision Support Only
ClarityTX provides AI-powered clinical decision support tools, including but not limited to:
- ClarityTX Treatment Plans: an AI-assisted workflow for designing integrative and functional medicine treatment plans, including supplement recommendations, dietary guidance, lifestyle modifications, specialty therapies, and timeline projections;
- Interaction and Synergy Checker: an AI tool that identifies potential drug–nutrient interactions, contraindications, and therapeutic synergies within a proposed treatment plan;
- Patient View / Treatment Plan Sharing: a feature that allows practitioners to generate patient-facing summaries of approved treatment plans for educational purposes;
- Medical Literature Search: a curated search interface for evidence-based research on natural medicine, supplements, and integrative therapies.
THE SERVICES ARE NOT A SUBSTITUTE FOR PROFESSIONAL MEDICAL JUDGMENT, CLINICAL TRAINING, OR INDIVIDUALIZED PATIENT EVALUATION. All output generated by ClarityTX, including AI-generated treatment plan recommendations, interaction flags, dosage suggestions, timeline projections, and literature summaries, is intended solely to assist licensed clinicians in their independent professional decision-making. No output from the Services constitutes a diagnosis, a prescription, a definitive treatment plan, or medical advice of any kind.
You are solely and entirely responsible for evaluating all AI-generated outputs, applying your independent clinical judgment, verifying information against current clinical guidelines, and making all final treatment decisions for your patients. Tulip Health expressly disclaims any liability for patient outcomes resulting from your reliance on any output generated by the Services.
3. Acceptance of Terms
By clicking "Accept," creating an account, or accessing any part of the Services, you represent that: (a) you have read, understood, and agree to be bound by these Terms; (b) you meet the professional eligibility requirements described in Section 1; and (c) all information you provide during registration is accurate and current. Your acceptance creates a legally binding contract between you and Tulip Health Inc.
4. Changes to These Terms
We reserve the right to modify these Terms at any time. When we make material changes, we will update the effective date at the top of this page and, where required by law, notify you by email to the address associated with your account. Your continued use of the Services after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must discontinue use and terminate your account.
5. Your Account
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account, whether authorized by you or not. You must notify us immediately at info@meetclaritytx.com upon becoming aware of any unauthorized access to or use of your account.
Account credentials are personal and non-transferable. You may not share your login credentials with any third party, including colleagues, staff members, or other clinicians. If you wish to add additional users within a practice, please contact us regarding multi-user options.
We reserve the right to suspend, disable, or terminate your account at any time and without prior notice if we have reason to believe you have violated these Terms, if your professional license is inactive or revoked, or if your use poses a risk to the integrity, security, or reputation of the Services.
6. Subscription, Billing, and Payment
6.1 Free Trial. New users may receive a free trial period upon registration, as specified at the time of sign-up. No credit card is required for the free trial, and the trial does not automatically convert to a paid subscription. To continue paid access, you must choose a plan and complete checkout. A paid subscription begins when you complete checkout, including if you subscribe before your trial ends. Your existing account and saved work remain associated with you.
6.2 Subscription Plans. We offer monthly and annual subscription plans. Subscription fees are charged in U.S. dollars and are non-refundable except as expressly provided herein. All prices are exclusive of applicable taxes, which will be added where required by law.
6.3 Payment Processing. All payments are processed by Stripe, Inc., a third-party payment processor. By providing your payment information, you authorize Tulip Health to charge your payment method on a recurring basis. Your payment information is transmitted directly to Stripe and is subject to Stripe's Privacy Policy and Terms of Service. Tulip Health does not store your full credit card number or payment card data on its servers.
6.4 Automatic Renewal. Your subscription will automatically renew at the end of each billing cycle (monthly or annual, as applicable) at the then-current subscription rate unless you cancel at least 24 hours before the renewal date.
6.5 Cancellation. You may cancel your subscription at any time through your account settings. Cancellation is effective at the end of the current billing period. You will retain access to the Services until the end of the paid period, after which access will be downgraded or terminated.
6.6 Refunds. Except as required by applicable law, subscription fees are non-refundable. If you believe you have been charged in error, please contact us at info@meetclaritytx.com within 30 days of the disputed charge.
6.7 Failed Payments. If your payment method fails or your subscription cannot be renewed, we may suspend access to the Services. You are responsible for keeping your payment information current. Repeated failed payments may result in account termination.
6.8 Price Changes. We reserve the right to modify our subscription fees at any time. We will provide at least 30 days' written notice of price increases before they take effect for existing subscribers.
7. Permitted and Prohibited Use
7.1 License Grant. Subject to your compliance with these Terms, Tulip Health grants you a limited, personal, non-exclusive, non-sublicensable, non-transferable, and revocable license to access and use the Services solely for your own professional clinical practice purposes.
7.2 Prohibited Conduct. You agree that you will not:
- Use the Services for any purpose other than your own licensed clinical practice, including reselling, sublicensing, or white-labeling the Services or their output;
- Input, upload, or share patient information without authorization, outside the scope of your applicable Business Associate Agreement ("BAA"), or through features or channels that are not intended for clinical information;
- Use the Services to provide medical advice directly to patients, including through patient-facing communications that present AI-generated outputs as personalized clinical recommendations without independent clinician review and approval;
- Reverse engineer, decompile, disassemble, copy, or attempt to derive the source code, underlying algorithms, or AI models of any part of the Services;
- Use automated means (including bots, scrapers, crawlers, or other programmatic access methods) to access, extract, or aggregate data from the Services;
- Attempt to probe, scan, or test the vulnerability of the Services or any associated systems, or circumvent any authentication, security, or access control measures;
- Use the Services in any way that violates applicable federal, state, or local laws or regulations, including healthcare regulations, professional licensing requirements, and data protection laws;
- Share your account credentials with any third party or permit any unauthorized person to use the Services through your account;
- Misrepresent your identity, professional credentials, or affiliation with any healthcare institution;
- Use outputs from the Services to train, fine-tune, or otherwise improve any competing AI model or clinical decision support system;
- Take any action that interferes with, disrupts, or imposes an unreasonable burden on the infrastructure of the Services.
8. Patient Information, HIPAA, and Business Associate Agreements
ClarityTX is a HIPAA-compliant clinical decision support platform. Tulip Health makes a Business Associate Agreement ("BAA") available to practices. When processing Protected Health Information ("PHI") on behalf of a covered entity or business associate, the applicable BAA governs the permitted uses, disclosures, and safeguards for that information.
Before submitting PHI, ensure that the required BAA is in place for your practice and that you are authorized to use the information for the clinical task. Use the designated clinical features and include only information needed for that task. Do not send PHI through public forms, marketing channels, or ordinary support email.
You remain responsible for your practice's access permissions, applicable patient consents, and professional obligations. These Terms do not replace or execute a BAA. To arrange a practice BAA, contact info@meetclaritytx.com. If these Terms conflict with an executed BAA concerning PHI, the BAA controls that processing.
9. AI-Generated Content: Limitations and Clinician Responsibility
The Services use artificial intelligence and large language model technology, including integrations with third-party AI providers (including OpenAI), to generate treatment plan recommendations, interaction analyses, literature summaries, and other clinical content. You acknowledge and agree that:
- AI-generated content may contain errors, omissions, outdated information, or hallucinated data. The AI does not have the ability to independently verify the accuracy or current clinical relevance of every statement it generates;
- No AI-generated output from ClarityTX has been reviewed, endorsed, or approved by any regulatory body, including the U.S. Food and Drug Administration (FDA);
- Supplement dosing suggestions, interaction flags, and treatment plan recommendations are generated based on general training data and curated research references and must be independently verified by the treating clinician against current clinical evidence and individual patient circumstances before clinical application;
- ClarityTX's AI models are periodically retrained and updated; outputs may differ between sessions. Do not rely on previously generated treatment plans as a substitute for current evaluation;
- The output of the Patient View / Treatment Plan Sharing feature is a general educational summary only. It is not a personalized medical recommendation and must not be presented to patients as such without your independent clinical review and explicit approval.
Query data you submit to the Services (e.g., symptom descriptions, condition categories, demographic parameters) may be processed by third-party AI infrastructure providers as part of the generation process. See our Privacy Policy for details on data processing and sub-processors. Any PHI processing is subject to Section 8 and the applicable BAA.
10. Intellectual Property Rights
The Services and all content, features, and functionality therein, including but not limited to software, text, algorithms, AI model weights, UI design, graphics, images, audio, proprietary medical databases, treatment plan templates, and the selection and arrangement of all of the foregoing, are owned by Tulip Health, its licensors, or other providers of such material, and are protected by applicable intellectual property laws, including U.S. and international copyright, trademark, patent, and trade secret law.
These Terms do not grant you any rights to use Tulip Health's trademarks, service marks, trade dress, logos, or trade names, including "ClarityTX," "Tulip Health," or any related marks, without our prior written consent.
You retain ownership of any clinical notes, descriptions, or practice-specific content you submit to the Services. By submitting content, you grant Tulip Health a non-exclusive, royalty-free, worldwide license to use, store, process, and display that content solely as necessary to operate and improve the Services, subject to our Privacy Policy.
AI-generated outputs produced by the Services on your behalf are provided to you for your professional use in accordance with these Terms. You may not re-publish, resell, or distribute such outputs as standalone products or as part of competing services.
11. Data Infrastructure and Third-Party Service Providers
The Services rely on the following third-party infrastructure and service providers:
- Google Firebase (Google LLC): cloud hosting, authentication, database (Firestore), and file storage. Your account data and saved treatment plan data are stored on Firebase infrastructure governed by Google's security and privacy policies;
- Stripe, Inc.: payment processing and subscription management. Payment transactions are governed by Stripe's Terms of Service;
- OpenAI: provider of AI models used by ClarityTX treatment plans, clinical questions, and other AI-powered features. Query inputs may be processed by OpenAI's API infrastructure. OpenAI's data processing practices are governed by its own terms and privacy policy;
- Google Analytics (Google LLC): web analytics service used to understand platform usage patterns. Usage data may be collected in accordance with Google's analytics policies.
Each of these providers maintains its own terms of service and privacy policies. Your use of the Services constitutes your acknowledgment that data may be processed by these sub-processors as described in our Privacy Policy. Tulip Health is not responsible for the independent acts, errors, or omissions of these third-party providers.
12. Copyright Infringement and DMCA Safe Harbor
We respect the intellectual property rights of others and require that users do the same. If you believe that content available through the Services infringes a copyright you own or control, please submit a DMCA notice to our designated agent containing the following:
- A description of the copyrighted work claimed to be infringed;
- A description of where the infringing material is located on the Services;
- Your name, address, telephone number, and email address;
- A statement that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law;
- A statement under penalty of perjury that you are authorized to act on behalf of the copyright owner; and
- An electronic or physical signature.
DMCA notices should be sent to: info@meetclaritytx.com. We may terminate accounts of repeat infringers in appropriate circumstances.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TULIP HEALTH INC., ITS SUBSIDIARIES, AFFILIATES, SUCCESSORS, ASSIGNS, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO: LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, PERSONAL INJURY, PROPERTY DAMAGE, OR ANY OTHER INTANGIBLE LOSS, ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICES, REGARDLESS OF THE LEGAL THEORY ASSERTED AND EVEN IF TULIP HEALTH HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL TULIP HEALTH'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT ACTUALLY PAID BY YOU TO TULIP HEALTH IN THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE CLAIM; OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).
THE SERVICES PROVIDE CLINICAL DECISION SUPPORT TOOLS. THEY ARE NOT A SUBSTITUTE FOR PROFESSIONAL MEDICAL ADVICE, DIAGNOSIS, OR TREATMENT. ANY TREATMENT PLANS, INTERACTION ANALYSES, OR RECOMMENDATIONS GENERATED USING THE SERVICES ARE SUGGESTIONS ONLY AND MUST BE INDEPENDENTLY REVIEWED AND APPROVED BY THE TREATING LICENSED CLINICIAN BEFORE CLINICAL IMPLEMENTATION. TULIP HEALTH SHALL NOT BE LIABLE FOR ANY ADVERSE PATIENT OUTCOME, MEDICAL ERROR, MALPRACTICE CLAIM, OR PROFESSIONAL CONSEQUENCE ARISING FROM YOUR USE OF OR RELIANCE ON AI-GENERATED CONTENT.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES. ACCORDINGLY, SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
15. Indemnification
You agree to indemnify, defend, and hold harmless Tulip Health Inc. and its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, actions, demands, liabilities, losses, damages, judgments, settlements, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

16. Termination
Either party may terminate these Terms at any time. You may terminate by cancelling your account. We may terminate or suspend your access immediately, without prior notice or liability, for any reason whatsoever, including if you breach these Terms, your professional license lapses, or we reasonably believe your use poses a risk to the Services or to patient safety.
Upon termination: (a) your license to use the Services immediately ceases; (b) we may delete your account data in accordance with our data retention policies; and (c) all provisions of these Terms that by their nature should survive termination (including indemnification, disclaimer of warranties, limitation of liability, and dispute resolution) shall survive.
17. Governing Law and Dispute Resolution
These Terms and any dispute arising out of or relating to them or the Services shall be governed by the laws of the State of Delaware and the United States, without regard to conflicts of law principles and without regard to the United Nations Convention on the International Sale of Goods.

The arbitration shall be conducted in Wilmington, Delaware, in the English language. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
Class Action Waiver. You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive your right to participate in any class action lawsuit or class-wide arbitration against Tulip Health.
To the extent a claim cannot lawfully be arbitrated, jurisdiction and venue shall be exclusively in the state and federal courts located in New Castle County, Delaware.

No Waiver. Our failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision.
Assignment. You may not assign or transfer any rights or obligations under these Terms without our prior written consent. We may freely assign our rights and obligations under these Terms.
Force Majeure. Tulip Health shall not be liable for any delay or failure to perform resulting from causes outside its reasonable control.
